Bender Ciccotto Assists Client in Structuring it’s Sale to a Private-Equity Fund for $180 Million

We represented a large Wall Street client, along with other advisors in its sale to a private-equity fund. The total deal size was $180 million and was structured as a stock sale with an IRC Section 338(h)(10) election. We worked with the clients’ lawyers and other advisors to calculate the tax effects for each shareholder over the course of 6 months factoring in many different scenarios to determine the best deal for the client. When we were first hired by the client, their annual revenue was approximately $18 million. Over a 13-year period, their revenue grew to approximately $83 million in the last full year before the sale. We assisted and provided advisory services in helping to implement new policies and procedures and hire the right personnel that enabled this tremendous growth to occur. We advised the client on operational issues and procedures to be implemented to make the company more profitable.
